Der Vorstand von Ørsted empfiehlt Lene Skole als neue Vorsitzende und Andrew Brown als neuen stellvertretenden Vorsitzenden des Vorstands von Ørsted A/S.

(WK-intern) – Am 7. Februar 2024 gab Ørsted bekannt, dass Thomas Thune Andersen, Vorstandsvorsitzender von Ørsted A/S, beschlossen hat, sich auf der Jahreshauptversammlung am 5. März 2024 nicht zur Wiederwahl zu stellen.

Thomas Thune Andersen ist seit zehn Jahren Vorsitzender von Ørsted A/S und im Vorgriff auf eine bevorstehende Nachfolge als Vorsitzender hat der Nominierungs- und Vergütungsausschuss von Ørsted A/S die besten Nachfolgeszenarien für den Vorsitzenden von Ørsted bewertet, einschließlich der Bewertung interner und externer Vorsitze externe Kandidaten für die Position.

Auf der Grundlage dieses Prozesses und als Thomas Thune Andersen den Vorstand am 7. Februar 2024 über seine Entscheidung informierte, auf der bevorstehenden Jahreshauptversammlung zurückzutreten, kam der Vorstand zu dem Schluss, dass die besten Kandidaten für die Positionen als neuer Vorsitzender und stellvertretender Vorsitzender ausgewählt wurden wären Lene Skole bzw. Andrew Brown.

Lene Skole kennt Ørsted sehr gut, da sie seit 2015 stellvertretende Vorsitzende von Ørsted A/S war. Ørsteds kürzlich angekündigter Geschäftsplan für 2030 wurde in Zusammenarbeit zwischen dem Group Executive Team und dem Board of Directors entwickelt und Lene Skole ist daher voll und ganz davon überzeugt die Umsetzung des Plans. Lene Skole ist derzeit CEO von Lundbeckfonden und eine äußerst erfahrene nichtgeschäftsführende Direktorin.

Andrew Brown hat seine gesamte Karriere in der Energiebranche verbracht und war zuletzt CEO des portugiesischen Energieunternehmens Galp SA. Er trat 2023 dem Vorstand von Ørsted A/S bei und fungiert derzeit auch als Interims-Chief Operating Officer, eine Funktion, von der er Ende März 2024 zurücktreten wird.

Nach der Schlussfolgerung des Vorstands leitete Lene Skole ein Verfahren ein, um ihre Verfügbarkeit für die Übernahme des Amtes als Vorsitzende zu bestätigen, und dies wurde nun bestätigt.

Der Vorstand empfiehlt daher, Lene Skole zur neuen Vorsitzenden, Andrew Brown zum neuen stellvertretenden Vorsitzenden zu wählen und Annica Bresky, Julia King, Peter Korsholm und Dieter Wemmer bei der kommenden Jahrestagung als Vorstandsmitglieder wiederzuwählen Hauptversammlung am 5. März 2024. Angaben zu weiteren Führungspositionen, Erfahrungen und besonderen Kompetenzen der vorgeschlagenen Kandidaten sind in der beigefügten Ergänzung zur Einberufung der Hauptversammlung enthalten.

Thomas Thune Andersen, Vorstandsvorsitzender von Ørsted A/S, sagt:
„Ich habe viele Jahre lang eng mit Lene zusammengearbeitet und bin nach meinem Rücktritt sehr froh, dass die Bewertung der Kandidaten bestätigt hat, dass Lene am besten geeignet ist, den Vorsitz zu übernehmen und den kürzlich angekündigten Geschäftsplan gemeinsam voranzutreiben der Rest des Vorstands und das Group Executive Team.“

Die in dieser Ankündigung bereitgestellten Informationen haben keinen Einfluss auf Ørsteds bisherige Finanzprognose für das Geschäftsjahr 2024.

New Chair and Deputy Chair of Ørsted’s Board of Directors

Ørsted’s Board of Directors recommends Lene Skole as new Chair and Andrew Brown as new Deputy Chair of the Board of Directors of Ørsted A/S.

On 7 February 2024, Ørsted announced that Thomas Thune Andersen, Chair of the Board of Directors of Ørsted A/S, decided not to seek re-election at the annual general meeting on 5 March 2024.

Thomas Thune Andersen has served as Chair of Ørsted A/S for ten years, and in anticipation of a forthcoming chair succession, the Nomination & Remuneration Committee of Ørsted A/S has been evaluating the best chair succession scenarios for Ørsted, including evaluating internal and external candidates for the position.

Based on this process, and when Thomas Thune Andersen informed the Board of Directors on 7 February 2024 of his decision to step down at the upcoming annual general meeting, the Board of Directors concluded that the best candidates for the positions as new Chair and Deputy Chair would be Lene Skole and Andrew Brown, respectively.

Lene Skole knows Ørsted very well, having served as Deputy Chair of Ørsted A/S since 2015. Ørsted’s recently announced business plan towards 2030 was developed in collaboration between the Group Executive Team and the Board of Directors, and Lene Skole is therefore fully committed to the implementation of the plan. Lene Skole is currently CEO of Lundbeckfonden and a highly experienced non-executive director.

Andrew Brown has spent his entire career within the energy industry and was most recently CEO of Portuguese energy company Galp SA. He joined the Board of Directors of Ørsted A/S in 2023 and is currently also acting as interim Chief Operating Officer, a role he will step down from in late March 2024.

Following the conclusion by the Board of Directors, Lene Skole engaged in a process to confirm her availability to take on the position as Chair, and this has now been confirmed.

The Board of Directors therefore recommends Lene Skole to be elected as new Chair, Andrew Brown to be elected as new Deputy Chair, and Annica Bresky, Julia King, Peter Korsholm, and Dieter Wemmer to be re-elected as board members at the upcoming annual general meeting on 5 March 2024. Information about the nominated candidates’ other executive positions, experience, and special competences is included in the attached supplement to the notice of the annual general meeting.
