Die Jahreshauptversammlung von Ørsted A/S findet am Dienstag, den 7. März 2023, um 10:00 Uhr MEZ statt.

(WK-intern) – Das Treffen findet im Bella Sky Conference & Event, Centre Boulevard 5, Eingang 3, 2300 Kopenhagen S, Dänemark, statt.

Die Tagesordnung für die Jahreshauptversammlung lautet:

• Genehmigung des Jahresabschlusses 2022 und Gewinnverteilung.
• Konsultativabstimmung über den Vergütungsbericht 2022.
• Entlastung des Verwaltungsrates und der Geschäftsleitung.
• Wahl und Vergütung der Vorstandsmitglieder.
• Wahl des Wirtschaftsprüfers.

Die Tagesordnung ist in der beigefügten Einladung zur Hauptversammlung näher beschrieben.

Zur Wahl stehen alle von der Generalversammlung gewählten Mitglieder des Verwaltungsrates. Lynda Armstrong und Henrik Poulsen streben keine Wiederwahl an, und der Verwaltungsrat schlägt vor, Annica Bresky und Andrew Brown als neue Mitglieder des Verwaltungsrats zu wählen.

Zur Nominierung von Annica Bresky und Andrew Brown sagte Thomas Thune Andersen, Vorstandsvorsitzender von Ørsted A/S:

„Wir haben zwei sehr starke Kandidaten als neue Mitglieder des Verwaltungsrats nominiert. Annica Bresky verfügt über umfangreiche Industrie- und Führungserfahrung aus weltweit börsennotierten Unternehmen und über fundierte Kenntnisse der Nachhaltigkeitstransformation und der Politikentwicklung in der EU und weltweit. Andrew Brown verfügt über umfangreiche internationale Führungserfahrung aus führenden Positionen in großen globalen Organisationen, Betrieben und Projekten, zuletzt als CEO des portugiesischen Energieunternehmens Galp. Ich freue mich darauf, sie an Bord zu haben. Außerdem möchte ich sowohl Lynda Armstrong als auch Henrik Poulsen für ihren großartigen Einsatz im Board of Directors in den vergangenen Jahren danken.“

Notice of the 2023 annual general meeting of Ørsted A/S

The annual general meeting of Ørsted A/S will be held on Tuesday, 7 March 2023, at 10:00 CET.

The meeting will be held at Bella Sky Conference & Event, Center Boulevard 5, entrance 3, 2300 Copenhagen S, Denmark.

The agenda for the annual general meeting is:

Approval of the annual report for 2022 and distribution of profits.
Advisory vote on the remuneration report for 2022.
Discharge of the Board of Directors and the Executive Board.
Election and remuneration of board members.
Election of auditor.

The agenda is further described in the enclosed notice of the annual general meeting.

All members of the Board of Directors elected by the general meeting are up for election. Lynda Armstrong and Henrik Poulsen are not seeking re-election, and the Board of Directors proposes that Annica Bresky and Andrew Brown be elected as new members of the Board of Directors.
