CSV Normand Maximus – Ausübung der Kaufoption

(WK-intern) – Skudeneshavn – Die Tochtergesellschaft von Solstad Offshore ASA („SOFF“), Normand Maximus AS (als Charterer), schloss am 7. Oktober 2022 einen Bareboat-Chartervertrag (der „BBCP“) für das CSV Normand Maximus mit Maximus Shipping AS (als Eigentümer) ab.

Maximus Shipping AS ist eine hundertprozentige Tochtergesellschaft von Solstad Maritime ASA („SOMA“).

Gemäß dem BBCP ist Normand Maximus AS berechtigt, das Schiff Normand Maximus nach einer fünfjährigen Charterlaufzeit – d. h. im Oktober 2027 – unter Einhaltung einer Vorankündigungsfrist von 12 Monaten zu einem Kaufpreis von 125.000.000 USD zu erwerben.

Normand Maximus AS hat heute die Kaufoption für das Schiff Normand Maximus ausgeübt. Gemäß dem BBCP und der Ausübungserklärung wird Normand Maximus AS das Schiff Normand Maximus im Oktober 2027 erwerben. Der BBCP endet mit der Übergabe des Schiffes Normand Maximus von Maximus Shipping AS an Normand Maximus AS im Oktober 2027.

SOFF beabsichtigt, den Kaufpreis durch externe Fremdfinanzierung zu decken.

CSV Normand Maximus – declaration of purchase option

Skudeneshavn – Solstad Offshore ASA’s (”SOFF”) subsidiary Normand Maximus AS (as charterer) entered into a bareboat charterparty (the „BBCP”) for the CSV Normand Maximus on 7 October 2022 with Maximus Shipping AS (as owners). Maximus Shipping AS is a wholly owned subsidiary of Solstad Maritime ASA (“SOMA”). Pursuant to the BBCP, Normand Maximus AS is entitled to purchase Normand Maximus after five years of chartering i.e. in October 2027 with 12 months advance notice for a purchase price of USD 125.000.000.

Normand Maximus AS has today declared the purchase option of Normand Maximus. Pursuant to the BBCP and the purchase option declaration, Normand Maximus AS will purchase Normand Maximus in October 2027. The BBCP will terminate from delivery of Normand Maximus from Maximus Shipping AS to Normand Maximus AS in October 2027.

SOFF intends to finance the purchase price through external debt financing.
