AIRENGY PRÜFT ÜBERNAHME EINES BEDEUTENDEN, ERTRAGSGENERIERENDEN HYBRID-PORTFOLIOS IN POLEN

• Die Akquisitionen ergänzen das Portfolio, das das Unternehmen Anfang des Jahres erworben hat – mit einer Solarkapazität von rund 34 MW.
• Nach Abschluss der Akquisitionen wird das Unternehmen über rund 100 MWh autarke Speicherkapazität, 68 MW Solarkapazität und rund 8 MW Windkapazität verfügen.

Airengy (TASE: ARNG) gibt bekannt, dass heute Dokumente zur Prüfung von Transaktionen auf dem polnischen Markt im Wert von insgesamt rund 51 Millionen Euro in den Bereichen Solarenergie, Speicherung und Windkraft unterzeichnet wurden.

Die Prüfung ist Teil der beschleunigten Umsetzung der Strategie zum Aufbau einer Stromerzeugungs- und Speicherplattform in Polen, die verschiedene Energiequellen kombiniert und die Aktivitäten des Unternehmens als Stromerzeuger mit komplementären Kapazitäten in dem europäischen Land unterstützt.

Die unterzeichneten Schritte umfassen die Prüfung von Solarprojekten mit einer installierten Gesamtleistung von rund 34 MW. Ein eigenständiges Energiespeicherprojekt mit einer Leistung von 24 MW und einer Speicherkapazität von ca. 100 MWh sowie ein Windprojekt mit einer Leistung von ca. 8 MW.

Im Solarsegment hat das Unternehmen ein verbindliches Angebot zur Übernahme von 100 % des Aktienkapitals der Projektgesellschaften unterzeichnet, denen die drei Standorte Wójtostwo, Sepienko und Kielczewo gehören. Der Gesamtwert der Transaktion wird auf 20 Millionen Euro geschätzt, was einem Preis von 595.000 Euro pro installierter MW auf schulden- und bargeldfreier Basis entspricht. Die geplante Inbetriebnahme ist für Ende Oktober 2027 vorgesehen.

Im Energiespeichersegment hat Airengy eine unverbindliche Grundsatzabsichtserklärung zur Übernahme von acht eigenständigen Energiespeicherprojekten (BESS) mit einer Gesamtkapazität von ca. 100 MWh unterzeichnet. Die Gesamtgegenleistung beträgt voraussichtlich rund 16 Millionen Euro. Die Kaufpreise richten sich nach den erwarteten Netzanschlussterminen zwischen Ende 2026 und Ende 2027.

Darüber hinaus hat Airengy ein unverbindliches Angebot zum Erwerb des Windparks in Polen mit einer Leistung von 8 MW unterzeichnet. Die Transaktion basiert auf einem Projektwert von 15 Millionen Euro, was einem Wert von rund 1,9 Millionen Euro pro MW entspricht.

Das Unternehmen beabsichtigt, die Solaranlagen durch Speicherkapazitäten zu erweitern und mit komplementären Kapazitäten zum Stromerzeuger in Polen zu werden.

Alle Transaktionen sind noch nicht endgültig genehmigt. Ihr Abschluss steht unter anderem unter dem Vorbehalt der Unterzeichnung detaillierter Verträge, der Zustimmung des Aufsichtsrats und der Erfüllung aufschiebender Bedingungen.

AIRENGY EXAMINING ACQUISITION OF A SIGNIFICANT INCOME-GENERATING HYBRID PORTFOLIO IN POLAND

Airengy (TASE: ARNG) announces that it has today signed documents for the examination of transactions in the Polish market totaling approximately €51 million in the fields of solar energy, storage and wind. The examination is part of accelerating the implementation of its strategy to establish an electricity generation and storage platform in Poland that combines various power sources, to support its activity as a power producer with complementary capabilities in the European country.

The moves, which were signed, include the examination of solar projects with a total installed capacity of approximately 34 MW; a standalone energy storage project with a power capacity of 24 MW and an energy storage capacity of approximately 100 MWh; and a wind project with a power capacity of approximately 8 MW.

In the solar segment, the Company has signed a binding offer to acquire 100% of the share capital of the project companies that own three sites: Wójtostwo, Sepienko, and Kielczewo. The total transaction value is estimated at €20 million, reflecting a price of €595 thousand per MW installed on a debt-free and cash-free basis. The target commercial operation date (COD) is set for the end of October 2027.

In the energy storage segment, Airengy has signed a non-binding memorandum of principles for the acquisition of eight standalone energy storage projects (BESS) with a total capacity of approximately 100 MWh. The total indicative consideration may amount to about €16 million, with purchase prices determined according to the expected grid connection dates between the end of 2026 and the end of 2027.

In addition, Airengy has signed a non-binding offer to acquire the wind project in Poland with a power capacity of 8 MW. The transaction is based on a project value of €15 million, reflecting a value of about €1.9 million per MW.

The Company intends to enhance the solar projects by adding storage and becoming a power producer in Poland with complementary capabilities.

All the transactions have not yet been finally approved. Their completion is subject to, among other things, the signing of detailed agreements, board approvals and the fulfillment of conditions precedent.
